Welcome to AYVA. The terms "we", "us" and "our" refer to AYVA, operated by AOE Ecom AB (org. nr. 559458-2925), a company registered in Sweden. AYVA operates this store and website, including all related information, content, features, tools, products and services (the "Services"), powered by Shopify.

By visiting, interacting with, or purchasing from our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use our Services.

Section 1 - Access and account

By agreeing to these Terms, you confirm that you are at least the age of majority in your jurisdiction, or that you have parental or guardian consent to use the Services. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer, sell, or assign your account to any other person.

You represent and warrant that all information you provide - including billing, payment, and shipping details - is accurate, current, and complete. AYVA is not liable for errors, failed deliveries, or losses arising from inaccurate information provided by you.

Section 2 - Our products

We make reasonable efforts to accurately represent our products. However, colors, textures, or appearance may differ from how they display on your screen due to device settings and display technology. We do not warrant that product appearance will exactly match what is depicted on our website.

Product descriptions, pricing, availability, and specifications are subject to change at any time without notice. We reserve the right to limit quantities, discontinue products, or restrict orders to any person, geographic region, or jurisdiction at our sole discretion.

Section 3 - Orders

When you place an order, you are making an offer to purchase. AYVA reserves the right to accept or decline any order for any reason, at our sole discretion. Your order is not accepted until AYVA sends an order confirmation. We must receive and successfully process your payment before an order is accepted.

Please review your order carefully before submitting. Once an order is accepted, AYVA may be unable to accommodate cancellation or modification requests. If we decline, modify, or cancel an order, we will attempt to notify you via the contact details provided at checkout.

All purchases are for personal or household use only and not for commercial resale or export. You represent and warrant this at the time of purchase.

Pre-orders and extended delivery products: Estimated delivery dates for pre-order products are provided for convenience only and are not guaranteed. By purchasing such products, you accept the stated timeline and acknowledge that delays may occur due to production or logistics factors beyond our control. AYVA is not liable for any loss or inconvenience arising from such delays.

Section 4 - Prices and billing

Prices are subject to change without notice. The price charged will be the price in effect at the time your order is placed, as set out in your order confirmation email.

You agree to provide accurate, current, and complete payment information for all purchases. You represent and warrant that: (i) the payment details you provide are true, correct, and complete; (ii) you are authorized to use the payment method; (iii) charges incurred will be honored by your payment provider; and (iv) you will pay all applicable charges including shipping, handling, and taxes where applicable.

We may offer promotions or discounts from time to time, governed by separate terms. Where a conflict exists between a promotion's terms and these Terms, the promotion terms govern for that transaction only.

Section 5 - Shipping, delivery, and customs

All delivery times are estimates only and are not guaranteed. AYVA is not liable for delays caused by shipping carriers, customs processing, local postal services, force majeure events, or any other circumstances outside our direct control. Once your order is transferred to the shipping carrier, title and risk of loss passes to you.

International orders and customs: By placing an international order, you acknowledge and agree that:

• You are the importer of record for your shipment and are solely responsible for complying with all applicable laws, regulations, and import requirements in your destination country.
• Any VAT, import duties, customs fees, brokerage fees, GST, or other charges assessed by your local customs authority are your sole responsibility and must be paid by you directly upon delivery.
• These charges are not included in our product or shipping prices and will not be reimbursed, credited, or covered by AYVA under any circumstances - including in the event of a return or refund.
• AYVA has no control over and accepts no liability for delays caused by customs clearance or inspection procedures.

Refused or seized shipments: If a shipment is refused, held, seized, or returned by customs due to non-payment of duties or taxes, failure to comply with local import regulations, or any other reason attributable to the customer, AYVA is not obligated to issue a refund. Any costs associated with reshipping are the responsibility of the customer.

Incorrect address: AYVA is not responsible for orders that are delayed, lost, or undeliverable due to an incorrect or incomplete shipping address provided at checkout. Reshipping costs in such cases are the responsibility of the customer.

Lost or damaged shipments: Once an order is handed over to the carrier, AYVA is not liable for loss, theft, or damage during transit. Customers should contact the carrier directly to file a claim. AYVA will provide reasonable assistance in supporting such claims but bears no financial liability for carrier-related incidents.

Section 6 - Intellectual property

All content on the Services - including trademarks, text, images, graphics, video, audio, product descriptions, and design - is owned by AYVA, AOE Ecom AB, or its licensors and is protected under applicable intellectual property law.

You may use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, or otherwise exploit any content from the Services without our prior written consent. Unauthorized use may constitute a violation of applicable intellectual property law.

AYVA's name, logos, and product names are trademarks of AOE Ecom AB. You may not use these trademarks without prior written permission.

Section 7 - Third-party tools and links

The Services may include access to optional third-party tools or links to third-party websites. These are provided "as is" and "as available" without any warranty or endorsement by AYVA. We have no control over and accept no liability for third-party content, tools, or websites. Your use of any third-party tools or websites is entirely at your own risk.

Section 8 - Relationship with Shopify

AYVA is powered by Shopify. All sales and purchases are made directly with AYVA - AOE Ecom AB. Shopify is not a party to any transaction between you and AYVA and is not responsible for any aspect of such transactions, including any injury, damage, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from any claims arising from your purchases or transactions with AYVA.

Section 9 - Privacy policy

All personal information collected through the Services is handled in accordance with our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Because the Services are hosted by Shopify, certain data is also subject to Shopify's Privacy Policy.

Section 10 - Feedback and reviews

By submitting any feedback, reviews, suggestions, or other content to AYVA, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and distribute that content for any purpose, including commercial use. You represent that you own all rights to the content you submit and that it complies with these Terms. AYVA is under no obligation to keep any feedback confidential or to compensate you for it.

Section 11 - Errors and omissions

We reserve the right to correct typographical errors, inaccuracies, or omissions in pricing, product descriptions, promotions, or availability at any time without prior notice - including after an order has been submitted. We reserve the right to cancel or refuse any order placed based on incorrect information.

Section 12 - Prohibited uses

You may only use the Services for lawful purposes. You may not use the Services to: violate any applicable law or regulation; infringe on intellectual property rights; transmit harmful, abusive, or fraudulent content; collect personal data from others; or interfere with the security or functionality of the Services. AYVA reserves the right to suspend or terminate access to the Services at any time for violations of these Terms.

Section 13 - Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED BY AYVA, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. AYVA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, IN WHICH CASE THESE EXCLUSIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Note: If you are located in the EU, UK, or Australia, your statutory consumer rights under applicable law (including rights regarding defective goods) are not affected by this disclaimer and continue to apply.

Section 14 - Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AYVA, AOE ECOM AB, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH CLAIM IS BASED.

WITHOUT LIMITING THE ABOVE, AYVA EXPRESSLY DISCLAIMS LIABILITY FOR: (I) CARRIER-RELATED DELAYS, LOSS, OR DAMAGE AFTER HANDOVER; (II) CUSTOMS DUTIES, IMPORT TAXES, OR VAT ASSESSED ON YOUR ORDER; (III) LOSSES ARISING FROM YOUR FAILURE TO COMPLY WITH IMPORT REGULATIONS IN YOUR COUNTRY; AND (IV) TYPOGRAPHICAL ERRORS OR PRICING INACCURACIES ON THE WEBSITE.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Section 15 - Indemnification

You agree to indemnify, defend, and hold harmless AYVA, AOE Ecom AB, Shopify, and their respective affiliates, officers, directors, employees, agents, and service providers from any claims, liabilities, damages, losses, or expenses - including reasonable legal fees - arising from: (1) your breach of these Terms; (2) your violation of any applicable law or third-party rights; (3) your failure to pay applicable customs duties, taxes, or import fees; or (4) your access to or use of the Services.

Section 16 - Payment disputes and chargebacks

If you experience any issue with your order, you agree to contact AYVA first at hey@ayvaofficial.com and allow us a reasonable period of time to resolve the matter before initiating a chargeback, payment reversal, or dispute with your bank, card provider, or payment service (including Klarna, PayPal, or any other provider).

AYVA reserves the right to provide evidence to contest any chargeback or payment reversal we believe to be unjustified, including evidence of delivery, customer correspondence, and these Terms. Initiating a chargeback for reasons covered and disclaimed in these Terms - including customs fees, carrier delays, or buyer's remorse - may be contested by AYVA.

Section 17 - Termination

AYVA may terminate or suspend your access to the Services at any time, without notice, for any reason including breach of these Terms. Upon termination, you remain liable for all amounts due. Sections relating to intellectual property, feedback, disclaimers, limitation of liability, indemnification, and governing law survive termination.

Section 18 - Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is severed from the Terms to the minimum extent necessary, and the remaining provisions continue in full force and effect.

Section 19 - Waiver and entire agreement

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy and any referenced policies, constitute the entire agreement between you and AYVA regarding the Services and supersede all prior agreements.

Section 20 - Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. AYVA may assign or transfer these Terms and our rights and obligations at any time without notice.

Section 21 - Governing law

These Terms are governed by and construed in accordance with the laws of Sweden. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the Swedish courts, unless mandatory consumer protection law in your country of residence provides otherwise.

EU consumers: You may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr to resolve disputes.

Section 22 - Changes to these terms

We reserve the right to update or replace these Terms at any time. Material changes will be communicated in accordance with applicable law. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
